Organizer Agreement
1. Who we are, and which of us you contract with
1.1 The Vibez Companies. Vibez is operated by three sister companies under common ownership (together, the "Vibez Companies"):
| Company | Registration | Registered address |
|---|---|---|
| Nuvo Innovative Solutions, Ltd (Israel) | Company no. 514334515 | 4 Ariel Sharon St, HaShachar Tower, Floor 25, Givatayim, Israel |
| Vibez Tech, Inc. (United States) | Delaware corporation, file no. 7157668 | 228 Park Ave S, PMB 68367, New York, NY 10003, USA |
| Vibez Technologies (Cyprus) Ltd | HE 468445 · Tax ID 60114860W | 4 Onisilou Street, Office 101, Strovolos, 2015 Nicosia, Cyprus |
1.2 Your Contracting Company. For each Event, "Vibez", "we" and "us" mean the one Vibez Company that contracts with you for that Event (the "Contracting Company"), determined by the Event's payment setup (its "Business Unit"):
| Event's payment setup | Contracting Company |
|---|---|
| Vibez Payments, tickets sold in ILS | Nuvo Innovative Solutions, Ltd |
| Vibez Payments, other currency, payout in USD | Vibez Tech, Inc. |
| Vibez Payments, other currency, payout in EUR | Vibez Technologies (Cyprus) Ltd |
| Own Provider | By your country of incorporation (or residence, if you are an individual): Israel → Nuvo Innovative Solutions, Ltd; United States or Canada → Vibez Tech, Inc.; anywhere else → Vibez Technologies (Cyprus) Ltd |
1.3 Different Events, different Contracting Companies. If your Events use different payment setups, you may have more than one Contracting Company. Each is party to this Agreement only for its own Events, and is not liable for another Vibez Company's obligations, except where clause A6 (set-off across Vibez Companies) applies. The Contracting Company for each Event is shown in your dashboard and on our invoices.
1.4 Parties and acceptance. This Agreement is between the Contracting Company and the person or entity that creates an organizer account and uses the Platform to sell tickets, memberships or other products ("Organizer", "you"). You accept it by creating an organizer account or by listing any Event for sale, whichever is earlier.
1.5 The document set. This Agreement governs your use of the Platform as a seller. Each Buyer's purchase is governed by the Buyer Terms & Conditions. Where they conflict as to a sale you make, this Agreement governs between you and us, and the Buyer Terms govern between you and the Buyer.
1.6 Structure and precedence. This Agreement consists of this main body, Module A (applies to Events on Vibez Payments), Module B (applies to Events on Own Provider), Annex A (Commercial Terms), Annex B (Data Processing Annex) and the Country Riders. If they conflict, the order of precedence is: Country Rider for your market (only to the extent mandatory law requires), Annex A, the applicable Module, Annex B, this main body.
2. Definitions
- Platform: the Vibez websites, applications and services, including your dashboard, Buyer checkout, scanner, cashless and bar POS, and ambassador tools.
- Event: an event, membership or other product you list for sale.
- Buyer: a person who purchases through the Platform.
- Vibez Payments: the setup in which a Vibez Company collects Buyer payments on your behalf (Module A).
- Own Provider: the setup in which you connect your own payment processor and collect Buyer payments directly (Module B).
- Business Unit: the payment setup assigned to an Event, which determines the Contracting Company.
- Gross Sales: total amounts paid by Buyers for your Events through the Platform, excluding VAT and sales taxes.
- Platform Fee: the fee in clause 5 and Annex A.
- Balance: under Module A, Gross Sales collected for you, less the Platform Fee, refunds, chargebacks, payouts and any other amount owed to us.
- Attendee Data: personal data of Buyers and attendees made available to you through the Platform.
3. The relationship: you are the seller
3.1 You are the seller. We are not. The contract for each Event and each ticket is between you and the Buyer. We provide the Platform and, under Module A only, collect payment as your limited agent. We never sell tickets in our own name.
3.2 You are solely responsible for the Event itself: that it takes place as advertised, safely, lawfully, on the advertised date and at the advertised place.
3.3 We do not organize, produce, host, curate, endorse or take responsibility for your Event. Nothing in this Agreement makes us a partner, joint venturer, co-promoter or employer.
3.4 You must make our role clear to Buyers where the law requires, and must not represent that we are the seller, the event organizer or a guarantor of the Event.
4. Your account, your Event, your warranties
4.1 You must be at least 18 and, where you act for a business, authorized to bind it. You will give us accurate identity, business, tax and bank information, and keep it current.
4.2 You represent and warrant, for each Event, that:
a. you hold every licence, permit, insurance and approval the Event requires, and will produce them on request;
b. the Event complies with all applicable law, including consumer-protection, safety, accessibility, licensing and tax law;
c. all Event information you publish (date, time, venue, line-up, age limits, accessibility, ticket inclusions, your own cancellation terms) is accurate and not misleading;
d. you hold all rights in the content you upload, including images, marks and artist names;
e. capacity sold does not exceed the venue's lawful capacity;
f. the rights to the Event and its ticket sales are not pledged, charged or assigned to any third party, except as disclosed to us in writing.
4.3 You will tell us immediately and in writing of anything that may affect the Event or its ticketing: postponement, cancellation, venue change, material line-up change, a licensing or safety problem, or a capacity reduction.
4.4 Content and listings. We may refuse to list, restrict, or remove an Event or content that we reasonably believe breaches this Agreement, applicable law or our published listing rules. We act on notices of illegal content under clause 15 and give you a statement of reasons under clause 14.
5. Fees
5.1 Standard rate. Unless Annex A says otherwise, the Platform Fee on Vibez Payments is 8% of Gross Sales, inclusive of payment processing and VAT.
5.2 Who bears it. For each Event you choose whether the Platform Fee is added at checkout and paid by the Buyer, or absorbed by you. Either way, the price shown to Buyers must include every mandatory fee (clause 7.4).
5.3 Custom rates apply only to the Events named in Annex A.
5.4 Own Provider carries the reduced fees in Annex A and is invoiced under Module B.
5.5 Other services. Cashless top-ups, hardware rental, on-site staff and other services are charged as set out in Annex A or the applicable order.
5.6 Changes to fees. We may change the standard fees in Annex A on at least 30 days' written notice. A change never applies to an Event already on sale on the date of the notice. If you do not accept a change, you may terminate under clause 16.2 before it takes effect, without charge.
6. Refunds, cancellation and postponement
6.1 You are responsible for refunds to Buyers of your Events, under your published terms and under the rules in clause 6.3, which override your terms.
6.2 Your own terms. You set your Event's cancellation, refund and transfer terms, publish them on the Event page, and ensure they comply with consumer-protection law in every market where you sell. We may require you to change terms that do not.
6.3 Rules that apply regardless of your terms:
a. You cancel the Event: every Buyer receives a full refund, including the Vibez service fee, with no cancellation fee. You fund it.
b. You postpone the Event or change it materially (date, venue, or a headline act the Event was sold on): every Buyer may ask for a full refund within 14 days of being told of the change. You fund it. A Buyer who does not ask keeps a valid ticket for the new date.
c. Statutory cancellation rights in the Buyer's or the Event's market apply, including the Israeli rule in the Israel Rider and the 30-day refund rule in the US Rider.
d. Multi-day Events cancelled in part are refunded pro rata for the days not held, unless your published terms are more generous.
e. Credits instead of a refund may be offered only if the Buyer chooses them freely and they are worth at least the amount paid.
6.4 Force majeure does not cancel refunds. Clause 17.5 does not relieve you of the duty to refund Buyers where an Event does not take place as sold.
7. Buyers, pricing and messaging
7.1 You will handle Buyer enquiries about the Event itself. We handle enquiries about the Platform and, under Module A, about payments we collected.
7.2 Marketing messages. You will send marketing to Buyers, through the Platform or otherwise, only with the consent the law requires (including the Israeli Communications Law s.30A, the EU ePrivacy rules and the US TCPA and CAN-SPAM). You warrant that consent for every message you send through the Platform. We may block, delay or limit messages that we reasonably believe lack consent or breach law.
7.3 Ambassadors. Where you run an ambassador or affiliate programme through the Platform, you set the commission, you are responsible for what ambassadors say about your Event, and commissions are deducted from your Balance (Module A) or invoiced (Module B).
7.4 All-in prices. You will set prices so that the price first shown to Buyers includes every mandatory fee. You are responsible for the accuracy of the price, fee and tax settings you enter.
8. Access credentials for quality assurance
8.1 For each Event, you will make available to us, at no charge, up to 4 entry credentials ("QA Credentials").
8.2 QA Credentials may be used only to verify that the Platform works as intended at the Event (access control and scanning, cashless and bar operation, wristband pairing, on-site support). We will not resell, transfer, or use them for promotional or personal purposes.
8.3 QA Credentials count against the Event's capacity and are subject to the venue's lawful capacity and licensing limits. If these do not permit them, you will tell us in advance and we will agree an alternative.
8.4 We will name the individuals using QA Credentials in advance if you ask, and they will follow your venue's rules like any other attendee. QA Credentials do not give access to restricted areas unless you agree separately.
9. Hardware, cashless and on-site services
9.1 Wristbands and NFC media must meet the technical standard we publish (currently NTAG213). You may use an approved supplier or your own, provided the standard is met.
9.2 Devices rented from us remain our property and are returned in the condition supplied, fair wear excepted. You are responsible for loss or damage.
9.3 Cashless balances belong to the attendee and are refunded to them under the Buyer Terms: on request within 30 days after the Event with nothing deducted, and through support for up to 12 months. Refunded balances are deducted from your Balance. Unclaimed balances are handled as the Contracting Company's law requires and are not paid to you as revenue.
9.4 Access control, scanning and cashless depend on connectivity at the venue. You are responsible for providing it and for the operational fallback where it fails.
10. Data protection
10.1 Our data-protection roles, and what each of us may do with Attendee Data, are set out in Annex B (Data Processing Annex). In short: for Attendee Data you use to run your Event and to market to your own audience, you are the controller and we process it for you; for Buyer accounts, payments, fraud prevention and the Vibez discovery features, we are an independent controller.
10.2 You will not sell, rent or disclose Attendee Data to a third party, except to a processor acting for you under a written agreement no less protective than Annex B.
11. Tax and invoicing
11.1 We invoice our fees only. The Contracting Company issues you an invoice for the Platform Fee and other services. We do not sell tickets in our own name, and tickets are not part of our supply.
11.2 You are responsible for tax on your sales, including VAT, admission, amusement and sales taxes on tickets and other products, and for issuing any receipt or tax document the law requires you to give Buyers, except where we are required by law to collect a tax ourselves (clause 11.5).
11.3 Your tax details. You will give us your VAT or tax registration number and status. For EU organizers registered for VAT, our invoices from Vibez Technologies (Cyprus) Ltd are issued under the reverse-charge rules and require your valid VAT number. Without it, Cyprus VAT may be charged.
11.4 Israel. Invoices from Nuvo Innovative Solutions, Ltd carry an allocation number (מספר הקצאה) where the law requires one. Fees charged to organizers resident outside Israel include VAT where zero-rating does not apply.
11.5 United States. Where a marketplace-facilitator or similar law requires Vibez Tech, Inc. to collect and remit tax on your sales, we will do so and deduct it from your Balance or invoice it. You remain responsible for classifying your Event correctly.
11.6 Fees are stated exclusive of VAT unless stated otherwise, except the standard 8% Platform Fee, which is all-in.
12. Intellectual property and publicity
12.1 We grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform for your Events during the term.
12.2 You grant us a non-exclusive, worldwide, royalty-free licence to use your Event content, name and marks to list, operate and promote the Event on and through the Platform, and to identify you as a customer in our marketing. The licence ends when the Event is removed, except for materials already published.
12.3 You may use our marks only as our published brand guidelines permit.
13. Discovery and ranking
13.1 Events may appear in Vibez discovery features (Explore and similar). The main parameters that determine how Events are ranked are how soon the Event is, its location relative to the viewer, its popularity and sales, and editorial curation (for example Spotlight). We will publish them in plain language and update them when they change.
13.2 Any paid placement or editorial Spotlight is labelled as such. We do not give our own events, or any related company's events, more favourable treatment except as disclosed in our ranking description.
14. Suspension and termination
14.1 Suspension. We may suspend or restrict your account, an Event or ticket sales where there is a risk to Buyers, suspected fraud or illegality, a material breach, or a legal or payment-scheme requirement. We will give you a statement of reasons when the restriction takes effect, and restore access once the reason no longer applies.
14.2 Termination by us. We may terminate on at least 30 days' written notice with reasons. We may terminate immediately only where: you have materially breached and not cured within 7 days of notice (or the breach cannot be cured); we reasonably suspect fraud or illegality; an Event creates a serious risk to Buyers; or the law or a payment scheme requires it. We will state the reasons.
14.3 Your data after termination. For 90 days after termination you can export your Events' sales and Attendee Data records from your dashboard, to the extent Annex B allows.
15. Complaints and illegal content
15.1 Complaints. You can raise a complaint about any decision we make about you (a listing, a restriction, a suspension, a payout) at hello@vibez.io (start the subject with Complaint). We will consider it promptly and tell you the outcome and reasons.
15.2 Notices of illegal content. Anyone can report an Event or content they believe is illegal at hello@vibez.io (start the subject with Illegal content). We review notices diligently and, if we act on one against your Event, tell you why under clause 14.1.
15.3 Contact points. Our single point of contact for organizers and authorities is hello@vibez.io (start the subject with Legal notice).
16. Term and termination by you
16.1 This Agreement runs from acceptance until terminated.
16.2 You may terminate on written notice at any time. Termination takes effect once you have no Event on sale and, under Module A, no unreleased Balance.
16.3 On termination: Events already sold must still take place or be refunded under clause 6; under Module A, we continue to hold and release Balances for Events already sold; under Module B, unpaid fees become due. Clauses 3, 6, 10, 11, 12, 17, 18, 19 and the Modules' provisions on refunds, reserves, set-off and fees survive.
17. Liability and indemnity
17.1 You indemnify us against claims, losses, fines and reasonable costs (including legal fees) arising from: your Event; your breach of this Agreement or of law; your Event content; refunds and chargebacks on your Events; messages you send; and your handling of Attendee Data.
17.2 We indemnify you against third-party claims that the Platform, used as permitted, infringes their intellectual property rights.
17.3 The Platform is provided "as is" to the extent law allows. We do not warrant that it will be uninterrupted or error-free, and we are not liable for the outcome of your Event.
17.4 Cap. Each party's total liability to the other in any 12-month period is limited to the greater of (a) the Platform Fees you paid to the Contracting Company in the 12 months before the claim and (b) ₪2,000 where the Contracting Company is Nuvo, US$500 where it is Vibez Tech, Inc., and €500 where it is Vibez Technologies (Cyprus) Ltd. The cap does not apply to: your obligation to fund refunds and chargebacks, or to remit amounts due under the Modules; our obligation to pay out your Balance under Module A; the indemnities in 17.1 and 17.2; breach of confidentiality; fraud or wilful misconduct; death or personal injury caused by negligence; or anything else that cannot be limited by law.
17.5 Force majeure. Neither party is liable for failure caused by events beyond its reasonable control. This does not relieve you of the duty to refund Buyers (clause 6.4) or to pay amounts due.
17.6 Neither party is liable for indirect or consequential loss, or for loss of profit, except where the cap does not apply.
18. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for this Agreement. Your sales data is yours; our fee structures, product roadmap and non-public Platform information are ours.
19. General
19.1 Governing law and courts. This Agreement is governed by the law of, and disputes go exclusively to the competent courts of, the Contracting Company's home jurisdiction:
| Contracting Company | Governing law | Courts |
|---|---|---|
| Nuvo Innovative Solutions, Ltd | State of Israel | Tel Aviv-Yafo district |
| Vibez Tech, Inc. | State of New York | State and federal courts in New York County |
| Vibez Technologies (Cyprus) Ltd | Republic of Cyprus | Nicosia |
This does not remove any mandatory protection you have under the law of your own country, including the EU and UK Platform-to-Business rules.
19.2 Changes. We may amend this Agreement on at least 30 days' written notice (longer where a change requires you to make technical or commercial adjustments). Changes never apply to an Event already on sale. You may terminate before a change takes effect. Shorter notice applies only where the law or a payment scheme requires a change, or to address an unforeseen risk of fraud or harm, and we will say so.
19.3 Assignment. You may not assign without our written consent. We may assign to another Vibez Company, or in connection with a merger, acquisition or sale of assets, on notice to you.
19.4 Notices. To us: the Contracting Company's registered address in clause 1.1, copied to hello@vibez.io (start the subject with Legal notice). To you: the email on your account.
19.5 Entire agreement. This Agreement, its Modules, Annexes and Country Riders are the entire agreement as to your use of the Platform as a seller, and replace the Terms of Service to the extent they governed the same subject.
19.6 No waiver; severability. A failure to enforce is not a waiver. If any provision is unenforceable, the rest continues.
Module A: Vibez Payments
Applies to each Event whose Business Unit is a Vibez Payments account.
A1. Appointment. You appoint the Contracting Company as your limited payment-collection agent, for the sole purpose of accepting payments from Buyers for your Events, processing refunds you are responsible for, and remitting the proceeds to you under this Module. We act for you only, never for the Buyer.
A2. Buyer discharge. A Buyer's payment to us for your Event is treated as payment to you. Once we receive it, the Buyer's obligation to pay you for that purchase is discharged, whether or not we have yet remitted it to you.
A3. Collection and Balance.
a. We collect Buyer payments through licensed payment processors. Collected amounts are recorded to your Balance, net of the Platform Fee.
b. Proceeds are earned by you when the Event ends. Until then they remain subject to refund under clause 6.
c. Funds are not held in trust and do not bear interest, except where law requires.
d. Your dashboard shows your Balance and its components. Our records are the record of account, absent manifest error.
A4. Payouts and reserve.
a. Default schedule. Unless Annex A says otherwise, 80% of your Balance becomes available for payout as sales settle, and 20% is held as a reserve against refunds and chargebacks and released about 10 days after the Event ends.
b. Extending the reserve. We may increase the reserve or extend its period only where one of these triggers applies, and only for as long as it applies (at most until the relevant chargeback window closes):
1. refund or chargeback rates on your Events above 1% of Gross Sales;
2. reasonable signs of fraud or of a breach of this Agreement;
3. your first Event on Vibez Payments, or a materially larger Event than your history;
4. a real risk that the Event will be cancelled, postponed or materially changed;
5. an outstanding early payout under clause A7;
6. a requirement of the law or a payment scheme.
c. When we extend the reserve, we will tell you in writing which trigger applies, how much, and when we expect to release it. We release it as soon as the trigger no longer applies.
d. Payout requests. You request payouts in your dashboard to a verified bank account. We process approved requests within 5 business days; arrival typically takes a further 1 to 4 business days. Payout fees vary by currency and receiving country and are deducted from the payout.
A5. Refunds and chargebacks.
a. Specified refunds. We may refund Buyers directly where clause 6.3 applies (including a cancelled Event), where the law or a payment scheme requires it, or where you do not refund within 5 business days of our request, even if your published terms say no refunds.
b. Chargebacks. A disputed amount is deducted from the Event's Balance and the order is marked disputed. You will give us the evidence needed to contest it promptly. You are liable for chargebacks on your Events, including scheme fees and our reasonable handling costs.
c. Shortfall. If the Event's Balance does not cover refunds, chargebacks or fees, you will pay the shortfall within 5 business days of our invoice. An unpaid shortfall is a debt due to the Contracting Company.
A6. Set-off.
a. We may recover an amount you owe under this Module from: (1) the Balance of any of your other Events with the same Contracting Company; (2) future sales; and (3) your Balance with another Vibez Company, which you authorise for this purpose.
b. Before setting off, we will send you written notice with itemised evidence (the orders, refunds or chargebacks concerned). You have 14 days to dispute it in writing. We will not set off a disputed amount while we review it in good faith, except where the amount is at imminent risk.
c. We may not set off an amount more than 12 months after the Event it relates to, unless a chargeback arrives later within the scheme's window.
d. We will not charge a payment method you have on file without your separate consent for that charge.
A7. Early payout (Vibez Capital).
a. We may offer to pay out part of an Event's future ticket revenue before it is earned ("Early Payout"), under a separate Vibez Capital agreement. Early Payout is your own future revenue brought forward and settled from your sales.
b. If the Event is cancelled, or refunds and chargebacks exceed the proceeds that settle the Early Payout, the unsettled part becomes immediately due and may be recovered under A5(c) and A6.
c. Where the separate Vibez Capital agreement conflicts with this clause, that agreement governs.
Module B: Own Provider
Applies to each Event whose Business Unit is your own payment processor account.
B1. You collect. Buyer payments go directly from the Buyer to your payment processor under your own agreement with it. You are the merchant of record. We do not collect, hold or remit Buyer money for these Events.
B2. Your responsibilities. You are responsible for: your processor's fees and terms; refunds to Buyers under clause 6; disputes and chargebacks; and card-data security (PCI DSS) on your side of the connection. Where the Platform offers a "Cancel tickets" action, it cancels the tickets in Vibez; the refund itself is made in your processor's dashboard.
B3. Our fees and invoicing. We invoice our fees under Annex A monthly in arrears. Invoices are payable within 14 days. Overdue amounts bear interest at the statutory rate in the Contracting Company's jurisdiction.
B4. Unpaid fees. If an invoice is more than 14 days overdue, we may, after written notice, pause new sales for your Events until it is paid. We will not cancel tickets already sold.
B5. Your processor is not ours. We are not responsible for your processor's acts, outages, holds or fees, or for the connection between the Platform and your processor beyond our own systems.

Country Riders
Each Rider applies where stated and prevails over the main body to the extent mandatory law requires.
EU and UK Rider (organizers established or selling in the EU or UK)
- Platform-to-Business rules. You keep all rights under Regulation (EU) 2019/1150 and the UK equivalent: at least 15 days' notice of changes (clause 19.2 gives 30); a statement of reasons for any restriction or suspension when it takes effect; 30 days' notice before termination except on the grounds in clause 14.2; a description of ranking parameters (clause 13); a description of data access during and after the relationship (clause 14.3 and Annex B); and a free internal complaint route (clause 15.1). We do not name mediators, as the Vibez Companies together qualify as a small enterprise.
- Buyer withdrawal. Tickets for an Event on a specific date are exempt from the 14-day withdrawal right. Memberships and cashless top-ups are not, and you must honour the withdrawal right for them.
- Digital Services Act. Content moderation, notices of illegal content and statements of reasons follow clauses 4.4, 14 and 15. Where the law requires, you will give us the trader information needed to identify you to Buyers.
- VAT. Clause 11.3 applies.
Israel Rider (Events sold in ILS, or organizers contracting with Nuvo Innovative Solutions, Ltd)
- Statutory cancellation. Under the Consumer Protection Law, a Buyer of a ticket bought remotely may cancel within 14 days of purchase, provided the cancellation is made at least 7 days, not counting rest days, before the Event. You may charge a cancellation fee of no more than the lower of 5% of the price or ₪100, and no fee where the cancellation results from your breach, a defect, or a change to the Event. Refunds are made within 14 days of the Buyer's notice. Some Buyers (aged 65+, people with disabilities, new immigrants) have a longer window where the sale involved a phone or chat conversation.
- Memberships. A Buyer may cancel a recurring membership at any time through the same channel used to join; cancellation takes effect within 3 business days.
- Marketing. Clause 7.2 includes the Communications Law s.30A: prior express consent, the word "פרסומת" in the message, and a working opt-out.
- Invoices. Clause 11.4 applies.
US Rider (organizers contracting with Vibez Tech, Inc., or Events held in the US)
- All-in pricing. Clause 7.4 includes the FTC Rule on Unfair or Deceptive Fees (16 CFR 464) and state all-in pricing laws (including New York ACAL §25.07, California SB 478, Colorado).
- Refunds. Where California law applies, refunds for a cancelled Event are made within 30 days, and Buyers of a postponed Event may request a refund.
- Memberships. Recurring memberships follow the automatic-renewal laws that apply (including California ARL and New York GBL §527-a): clear terms, express consent, online cancellation, and renewal and price-change notices.
- Tax. Clause 11.5 applies.
